H. John Rigg
is a General Partner and Managing Director at Nautilus. Included in his responsibilities, Mr. Rigg is spearheading efforts at developing Nautilus Asia Pacific Management, LLC in which joint ventures have already been signed for numerous projects with very large, well-respected Chinese corporations. Mr. Rigg has more than 15 years experience advising, managing, evaluating, building and structuring financial transactions for both large and small companies. Mr. Rigg brings insight to the team, gained as a Senior Manager with the world’s largest consulting firm, Accenture. Due to his outstanding success at Accenture, he became one of the youngest directors in the history of the firm. Mr. Rigg has hosted his own radio show and worked with such giants as IBM and Microsoft and has raised millions of dollars for companies both domestic and foreign.



Robert Buck
is the Senior V.P. of Sales at Nautilus. Mr. Buck is responsible for sales of the company's financial products and services including: factoring, asset based lending, purchase order financing, and leasing to growing companies. His network of contacts with major retailers on a global scale has been built up over a distinguished and successful 34 year career. Some of these accounts include: Kohls, Target, Mervins, Wal-Mart, Costco and Sears where Mr. Buck introduced new products and designed the product merchandising for the retailers. He has a strong background in Home Textile and Home Decorating representing U.S. and foreign manufacturers. Financing was always an important aspect of concluding large sales. With his tremendous experience in both selling to some of the world's premier company's and assisting to arrange the financing, Mr. Buck is ideally suited to assist growing companies to take their business to the next level. Mr. Buck holds a BSc Degree in Business and Economics from the University of North Carolina.



Tim Peabody
is general counsel at Nautilus. He received his Juris Doctorate from Loyola School of Law in 1987 and his MBA from the University of California in 1984 as a Dean’s List Scholar, and was a Phi Beta Kappa Honor Society undergraduate at UCI. Mr. Peabody has practiced general civil litigation and has appeared before many state and federal courts. As a practicing attorney his emphasis has been in the areas of finance, banking, corporations, partnerships, trusts, estates, and domestic and international finance. Mr. Peabody brings to the management team excellent insight from a legal perspective and his 14 years of experience establishing, servicing, structuring and defending corporations and institutions throughout the United States and abroad.



Teresa Boettner
is the Office Manager at Nautilus. Ms. Boettner has over 20 years experience in management and banking. As a licensed mortgage broker, notary public, and former bank officer, loan officer and assistant vice president of a major national bank, she oversees the administration and documentation of client portfolios. Ms. Boettner handles the in-house organization including processing loans, banking and treasury functions, IRA and ERISA accounts along with the coordination of our independent accounting and legal firms, and federal and state compliance. She graduated with high honors (Magna Cum Laude) from the University of South Florida.



Brent Hunter
is the Senior VP of Marketing at Nautilus while at the same time preaching regularly for area churches. Brent received his BA from USF in public relations and his MA from WKU and graduated from both with high honors. Brent formerly was the general partner of B & G Enterprises from 1981-1994, a real estate development concern in Hillsborough County. He has also served as a Bible, Marriage and Family and Speech professor and later administrator at Florida College, a private Christian college, in Temple Terrace, Florida. Under his leadership as Director of Development at the college the donor base tripled and the adopt-a-student scholarship fund which he pioneered increased 10-fold. Brent was honored in 2002 as a “Peak Performer” by the Sales and Marketing Executives of Tampa Bay. He currently conducts marriage seminars and lectures for congregations nationwide. Brent is a published author of numerous articles and booklets and three times was named top lecturing professor at Florida College. Brent brings proven expertise in marketing, public relations, public speaking and client relations to Nautilus and is pleased to be able to now minister to people through the financial products and services that Nautilus offers. He is especially knowledgeable in dealing with churches, ministers, non-profits, and those with a philanthropic intent.



Edward Quinones
is Senior Vice President, Institutional Asset Management, providing 30 years of broad global experience in finance and marketing at the highest decision making levels of both private and government institutions. Mr. Quinones has successfully serviced large public and institutional corporate pension funds managing over $400 billion in assets for GEB Securities, Inc. and was the lead broker on Wall Street for a major and established commodity brokerage. Global hands on experience includes living abroad for 17 years working as an Attaché at the U.S. Embassies in Caracas and Madrid, as Regional Director for the Iberian Peninsula and Middle East, and as Division Manager, Asia and Middle East for a major U.S. trade organization. As President of his own Madrid based consulting firm over a six year period, covering Africa and Europe, he was a registered consultant with the World Bank, Inter American Development Bank, FAO of the United Nations, AID of the US Department of State, and Near East Foundation. New venture finance and organization experience includes opening or overseeing new businesses in the U.S and overseas. Licenses have included the National Association of Securities Dealers, National Futures Association, Mortgage Broker, Insurance Agent, and Registered Financial Consultant(RFC). Honors include twice selected as Chief of Mission for the United States to United Nations UNESCO conferences. Degrees include BSc and MSc in Agricultural Economics from Michigan State and Ohio State Universities, and graduate school studies at the University of Michigan, and course work at the American Management Association.




Gene Chou
Gene Chou brings many years of manufacturing, logistics planning, supply chain management and management consulting experience to Nautilus. As president of Z&P International Company, Ann Arbor, Michigan, since 1990, Mr. Chou has been instrumental in assisting US companies to set up operations in China. Z&P is also a member of the Michigan China coalition that has 120 companies, including GM, Ford, DCX, JCI, Lear, Delphi and other global tier one suppliers working together. Mr. Chou is CEO of Detroit China Logistics (DCL), Inc., Romulus, Michigan, since 1999. DCL entered into partnership with Corrigan Air & Sea, and Zhong Hanh-Scanwell to create an integrated supply chain management service for the automotive industry. He is also Managing Partner, Raches International, Auburn Hills, Michigan, since 2003, a $100 million manufacturing sales representation company and projected to grow to $500 million within 5 years.

Mr. Chou will be in charge of the Nautilus Asia Pacific LLC office scheduled to open in Shanghai in 2005. Mr. Chou has an MBA, and Ph.D program in Business Administration, and has been an organizer and speaker in numerous seminars on logistics, auto manufacturing and strategic planning in the US and Europe.

Nautilus has elected to hire an independent Certified Public Accountant to administer the Fund and prepare all statements and calculate all returns, and to provide independent consulting services, accounting services, auditing services, tax consultation and preparation services for the Partnership. The services also include maintenance and reporting of Partners' capital accounts on an economic and tax basis.

DUE DILIGENCE LEGAL SEARCH AND FILINGS

Prior to investing in accounts receivable Nautilus performs an extensive Due Diligence on whomever they are purchasing invoices from. This requires experts whose specialty is the accessing of many sources for their information, including actually physically sending staff to the courthouse in whatever part of the country information may be filed. Although Nautilus uses many sources in-house, such as Lexis-Nexis, they are sometimes not up to date. Therefore, we use professionals to back up our searches, thus ensuring that we have up-to-date information that is accurate. Additionally, we require these agencies to carry $2,000,000 in Errors and Omission Insurance for each occurrence to further secure our investments in the event they miss some lien on an asset that was pledged to us as security. Nautilus has elected to also outsource its U.C.C. Searches and Filing and due to the complexities of Article 9 and New Revised Article 9, the General Partner chose one of the most sophisticated and experienced firms to administer this function to ensure our investments are properly secured.

NAUTILUS FACTORING SOFTWARE

Nautilus has chosen, along with the top Banks, Lenders and Factors that purchase Accounts Receivable, to acquire and utilize the most state-of-the-art software to track and administer our receivable program. We did extensive interviews with the most successful software providers in the business and we have contracted with the leading provider in that industry. One Factor interviewed had over 15,000 invoices being tracked at one time (billions of dollars worth) and reported to us that there was not a limit as to the volume capacity of this software. The General Partner experienced in investments, knows only too well the importance of being able to track and process all receivables.

Ron S. Geffner is a partner at Sadis & Goldberg LLC and a member of the Corporate and Financial Services Group of the firm. He regularly structures, organizes and counsels private investment vehicles, investment advisory organizations, broker-dealers, commodity pool operators and other investment fiduciaries. Mr. Geffner’s broad background with federal and state securities laws and the rules and regulations of the National Association of Securities Dealers, Commodity Futures Trading Commission and various other regulatory bodies, enables him to provide strategic guidance to a diverse clientele. Robert A. Zadek is one of the premier attorneys and an expert in the field of factoring. An attorney with the San Francisco office of Buchalter, Nemer, Fields & Younger, he handles loan documentation, trade finance and letters of credit, loan workouts and bankruptcy. Prior to joining the firm, he was Vice President and Senior Counsel for Wells Fargo Bank, San Francisco. While practicing in New York, Mr. Zadek was President of the Association of Commercial Finance Attorneys, and taught a course in secured transactions at Rutgers University School of Law, and graduate courses in corporate finance at Hofstra and Adelphi Universities. Mr. Zadek holds a Master of Law Degree at New York University School of Law, and is also a Certified Public Accountant.

Mr. Zadek is the immediate past Chair of the Commercial Financial Services Committee of the Business Law Section of the American Bar Association and was founder and Chair of its Loan Documentation Subcommittee. He is also an advisor to the drafting Committee on the Revision of Article 9 of the Uniform Commercial Code. Mr. Zadek has taught seminars on asset-based lending for the Commercial Financial Association, which presented him with their “Educator of the Year” award for his popular loan documentation workshop. His column, “You Be The Judge”, is a regular feature in the Association’s journal, The Secured Lender.
